Vice President - Finance & Accounting

Role Overview

We are seeking a highly experienced and strategic VP - Finance & Accounting to head our India team and lead financial operations, accounting, compliance, and reporting. This role is pivotal in managing financial operations, driving strategic financial initiatives, and ensuring compliance with international accounting standards in a technology-driven organization, while working closely with global stakeholders.The ideal candidate will bring expertise in financial reporting (including SEC/Nasdaq filings like 10-Qs and 10-Ks), SOX compliance, team leadership, and operational excellence.

Key Responsibilities 1. Financial Strategy & Leadership

• Lead the finance & accounting team, ensuring alignment with HQ and subsidiaries.
• Set financial goals, manage team performance, and provide mentorship to foster professional growth.
• Drive financial strategy to optimize profitability and ensure compliance with US GAAP and SEC reporting.
• Support financings - debt/equity, including structuring, execution, and compliance with regulatory requirements.
• Manage financial operations in India, overseeing administrative and operational matters.

2. Compliance, Risk & Internal Controls

• Ensure SOX compliance by working with consultants to bring all processes in line with regulatory standards.
• Oversee SEC/Nasdaq filings such as 10-Q, 10-K, S-3, S-11, 8-K, and ensure accurate and timely reporting.
• Coordinate with legal teams on various regulatory compliance matters.
• Implement internal control improvements and risk mitigation strategies.

3. Financial Reporting & Consolidation

• Oversee monthly, quarterly, and annual financial statements and ensure accuracy in reporting.
• Lead consolidation tool implementation (e.g., Datarails) for improved reporting efficiency.
• Ensure timely 10-Q and 10-K filings in collaboration with the auditing team.
• Manage investor due diligence data room and provide accurate financial insights.

4. Technical Accounting & Taxation

• Lead technical accounting matters, ensuring compliance with US GAAP, FASB, and SEC regulations.
• Oversee Purchase Price Allocation (PPA) reports for acquisitions.
• Manage intercompany billing to maintain arm s length pricing compliance.
• Handle tax provisions, federal tax payments, franchise taxes, and annual tax filings with external auditors.

5. Mergers & Acquisitions (M&A) and Integration

• Drive post-acquisition financial integration with acquired companies.
• Review post-acquisition books of accounts to align with public company standards.
• Coordinate acquisition agreement reviews and determine accounting treatments for special transactions.

6. Treasury & Cash Management

• Oversee US banks and credit cards management for efficient banking operations.
• Manage wire setups, board payments, and Melio payment approvals.
• Ensure ATM facility compliance in collaboration with legal and banking partners.

7. Process Optimization & Automation

• Implement ERP solutions suitable for acquisition models (SAP B1, Oracle Netsuite evaluation).
• Lead finance automation projects to enhance operational efficiency.
• Continuously improve AP, AR, and financial control processes for better transparency.

8. Stakeholder Management & Collaboration

• Work closely with subsidiaries finance teams to ensure seamless financial reporting and compliance.
• Engage with auditors, investors, and legal teams to meet financial disclosure requirements.
• Maintain strong coordination with board members, CFO, and executive leadership.

Key Qualifications & Requirements Education & Certifications:

• Chartered Accountant (CA) qualification is mandatory. CPA/CMA/MBA in Finance are a plus.
• Strong US GAAP, IFRS, and SEC compliance expertise.
• SOX compliance and internal controls experience preferred.

Experience:

• 10+ years of experience in Finance & Accounting, with at least 5 years in a leadership role.
• Experience in public company reporting (SEC/Nasdaq compliance).
• Strong M&A integration, financial consolidation, and technical accounting knowledge.
