JOB DESCRIPTION

We are looking for a dedicated company secretary to join our team at Basilic Fly Studio Limited.

You will play a vital role in ensuring compliance with legal and regulatory requirements, facilitating board governance, advising on corporate governance matters, and supporting corporate decision-making processes. The ideal candidate is meticulous and knowledgeable, with a strong understanding of India's corporate governance and regulatory compliance. They also have a track record in company secretarial practices and corporate administration.

Responsibilities and Eligibility

  • Knowledge and experience of provisions under the Companies Act, 2013 and the rules framed thereunder, FEMA Regulations, SEBI Regulations, (knowledge of SEBI Regulations are a nice to have) etc.
  • Independently Handling secretarial compliances for multiple companies including (a) drafting of documents for board meeting, general meeting, (b) shareholders authorisations for acquisition/transaction; (c) conversion of securities; (d) filing of various annual forms with the Ministry of Corporate Affairs/Reserve Bank of India, (e) capital infusion, (f) acquisition of a company, (g) any other secretarial matters, and direct co-ordination and communication with clients, including foreign clients.
  • Handling FEMA compliances including advisory on FDI / ODI regulations, filing of FDI forms with the Reserve Bank of India, etc.
  • Assistance in conducting secretarial/corporate due diligence for a specific transaction including for investment, acquisition, etc.
  • Liaising with various statutory authorities like Registrar of Companies, Regional Director, NCLT, etc.
  • Handled incorporation of companies.
  • Maintain and update company records, registers, and statutory documentation.
  • Handle all matters related to Share certificates, transfer of shares, related Complaints, etc.

Required skills and qualifications

  • Qualified Company Secretary (ACS) with a membership of the Institute of Company Secretaries of India (ICSI).
  • 0-2+ years of experience as a company secretary or a similar role in corporate governance and compliance.
  • Semi qualified CS with 5-6 years of experience.
  • Strong knowledge of corporate law, regulations and governance principles.
  • Familiarity with corporate governance codes and guidelines, such as the Companies Act and SEBI regulations.
  • Experience with corporate secretarial software and tools for document management and compliance tracking.
  • Excellent communication and interpersonal skills, with the ability to interact effectively with senior executives and board members.
  • Ability to work independently and handle confidential information with discretion.
  • Attention to detail and the ability to work effectively under pressure in a fast-paced environment.
