Role & responsibilities
- Advise on legal issues related to licensing, patents, trademarks, and other intellectual property matters to ensure business operations align with IP laws.
- Handle the preparation, review, and negotiation of legal documents for M&A transactions, including letters of intent, confidentiality agreements, and shareholder agreements.
- Ensure all contracts related to IPR and M&A comply with local and international laws, regulations, and corporate policies.
- Provide strategic legal advice on IPR.
- Represent the company in legal proceedings related to intellectual property disputes, mergers, or acquisitions, including settlement negotiations or litigation.
- Collaborate with the compliance and regulatory teams to ensure adherence to relevant IP laws and M&A regulations.
- Monitor and report on potential legal risks affecting the company, particularly regarding IPR and corporate transactions.
- Develop and implement internal policies and procedures related to IP protection and corporate transactions.
- Assist in the training of staff on legal aspects of intellectual property, M&A, and contract management.
Additional Responsibilities:
- Contribute to the preparation of annual reports, disclosures, and filings with relevant regulatory bodies in relation to IP and M&A activities.
- Conduct legal research on emerging trends in IP law and M&A practices to provide proactive advice to the business.
- Support the company's IP portfolio management, including trademark and patent filing, prosecution, and enforcement.
- Oversee the creation and management of the company's IP documentation and contracts database.
- Advise on international IP issues, including cross-border licensing, distribution agreements, and compliance with foreign laws.
- Assist in the management and execution of corporate restructurings, joint ventures, and other strategic partnerships.
- Evaluate and recommend improvements to internal legal processes to enhance efficiency and minimize legal risks.
- Provide legal support to other departments, such as marketing, product development, and HR, on IP and M&A-related issues.
- Monitor and evaluate competitor IP filings, trends, and activities to ensure the company's IP strategy is competitive.
- Assist with corporate governance matters, including shareholder agreements, board resolutions, and corporate filings.
Preferred candidate profile
- Qualification: Law Graduate (LLB) or Bachelor's in Law
- Experience: 2 to 6 years of overall experience.
