Contract Specialist

Location: Noida (Day Shift) or Kolkata (Night Shift)

Position Overview: We are seeking a highly skilled Contract Specialist with exceptional expertise in contract drafting, redlining and negotiations for various commercial agreements, including but not limited to MSAs, SOWs, Content Licenses, SaaS, General Supply Agreements, and IT Services Agreements. This role requires a minimum of 3 years of relevant experience. The successful candidate will play a crucial role in ensuring that all contracts are legally sound, compliant, and beneficial for the organization or the clients we serve.

Key Responsibilities:

• Contract Negotiation and Redlining:
• Lead negotiations and redlining of complex commercial agreements such as MSAs, SOWs, Content Licenses, SaaS, General Supply Agreements, and IT Services Agreements.
• Ensure all contract terms and conditions are clear, enforceable, and aligned with company policies and objectives.
• Contract Drafting and Review:
• Draft, review, and amend contracts to ensure accuracy, completeness, and compliance with applicable laws and regulations.
• Collaborate with internal stakeholders to gather necessary information and ensure contract terms meet business needs.
• Compliance and Risk Management:
• Conduct thorough risk assessments of contracts and propose mitigation strategies.
• Ensure all contracts comply with relevant laws, regulations, and company policies.
• Stakeholder Communication:
• Serve as the primary point of contact for contract-related inquiries and issues.
• Provide expert advice on contract matters to internal and clients teams, including legal, procurement, and business units.
• Contract Administration:
• Manage the entire contract lifecycle, from initiation and negotiation to execution, renewal, and termination.
• Maintain accurate records of all contracts and related documentation.
• Managerial Skills:
• Assist in developing and implementing contract management processes and best practices.
• Mentor and guide junior team members in contract management activities.

Qualifications:

• Bachelor's or Higher degree in Law.
• Minimum of 3 years of relevant experience in contract negotiation and management.
• Proven expertise in handling various commercial agreements, including MSAs, SOWs, Content Licenses, SaaS, General Supply Agreements, and IT Services Agreements.
• Strong understanding of contract law and regulatory requirements.
• Excellent negotiation, communication, and interpersonal skills.
• Detail-oriented with strong analytical and problem-solving abilities.
• Ability to work independently and manage multiple priorities in a fast-paced environment.
• Proficiency in contract management software and Microsoft Office Suite.

Work Environment:

• Night shift position based in Kolkata and day shift based in Noida.
