Job Summary:
- We are seeking an experienced and proactive Company Secretary to join our team in Mumbai.
- As the company prepares for its listing on the stock exchange, the Company Secretary will play a critical role in ensuring compliance with regulatory requirements, managing corporate governance, and supporting the Board and senior management.
- The ideal candidate should have in-depth knowledge of Indian corporate law, SEBI regulations, and public listing processes.
- Ensure the company's compliance with all statutory and regulatory requirements, particularly under the Companies Act, SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and other relevant laws.
- Oversee the listing process, including coordination with stock exchanges, regulatory bodies, and legal advisors to ensure timely and successful completion of the IPO.
- Draft and review statutory documents, including IPO prospectus, board resolutions, and corporate filings.
- Provide expert advice on corporate governance practices and ensure the company's policies align with the regulatory framework and listing requirements.
- Convene and service board meetings, annual general meetings (AGMs), and extraordinary general meetings (EGMs), including preparing notices, agendas, minutes, and resolutions.
- Maintain and update statutory records, including the register of members, minutes of meetings, and other relevant documents.
- Manage relationships with shareholders, regulatory authorities, stock exchanges, and registrar and transfer agents (RTAs) to ensure compliance and smooth communication.
- Assist in managing investor relations, handling ESOP implementation, and coordinating the filing of financial results, quarterly reports, and other disclosures to the stock exchanges.
- Oversee all secretarial audits, due diligence, and internal audits related to corporate compliance.
- Monitor changes in legislation and regulatory environment, updating the company on compliance risks and new requirements.
- Manage the corporate governance framework, ensuring ethical business practices, transparency, and alignment with shareholder interests.
- Act as a liaison between the board, shareholders, and regulators, ensuring seamless communication and adherence to governance standards.
Qualifications:
- CS qualification from the Institute of Company Secretaries of India (ICSI), with valid membership.
- 2+ years of experience in secretarial, compliance, and corporate governance roles, with experience in a company preparing for IPO or listed entity.
- Comprehensive understanding of Indian corporate laws, SEBI regulations, stock exchange compliances, and the Companies Act.
- Expertise in managing IPO-related documentation, including prospectus filing, due diligence, and regulatory submissions.
- Strong experience in conducting board meetings, AGMs, and EGMs, and managing statutory records.
- Excellent communication and interpersonal skills to interact with senior management, board members, shareholders, and regulatory authorities.
- High ethical standards and ability to maintain confidentiality in handling sensitive corporate information
