Company Secretary
About:
Svaryu Energy Ltd, one of India's leading Solar EPC companies, is seeking a Company Secretary to join our team in Mumbai.
This role involves ensuring compliance with statutory and regulatory requirements, managing corporate governance, and supporting the organization in legal and financial matters.
The ideal candidate will play a critical role in maintaining the company's legal and ethical integrity while driving operational efficiency.
Roles and Responsibilities:
- Ensure compliance with all statutory and regulatory requirements, including filing returns, maintaining statutory registers, and adhering to corporate laws.
- Organize, prepare, and record minutes for board and shareholder meetings.
- Draft and review legal documents, including agreements, contracts, and resolutions.
- Oversee the creation and management of securities such as mortgages, debentures, and pledges, in coordination with lenders, legal advisors, and shareholders.
- Liaise with regulatory authorities, consultants, and legal partners, ensuring timely submissions and compliance.
- Handle company secretarial functions related to fundraising, including drafting resolutions and filing necessary documentation with regulatory bodies.
- Maintain a robust corporate governance framework, ensuring the company operates in accordance with the Companies Act, 2013.
- Monitor and ensure compliance with lender covenants, facility agreements, and regulatory obligations.
- Assist in managing relationships with stakeholders, including investors, lenders, and legal advisors.
- Prepare and present detailed reports and action plans for senior management and stakeholders.
- Support due diligence processes, providing comprehensive responses to queries and ensuring all necessary documentation is prepared accurately.
- Stay updated on changes in laws, regulations, and governance best practices, and provide strategic guidance to the management team.
Skills and Qualifications Required:
- Qualified Company Secretary (CS) with membership in ICSI.
- Minimum of 5 years of experience in corporate governance, legal compliance, or related fields.
- Strong knowledge of the Companies Act, 2013, and related laws and regulations.
- Excellent interpersonal, written, and oral communication skills.
- Proficiency in drafting and reviewing legal documents, resolutions, and contracts.
- Expertise in Microsoft Office Suite (Outlook, Excel, Word, and PowerPoint).
- Strong organizational skills with the ability to manage multiple tasks and deadlines.
- Positive attitude, adaptability, and a proactive approach to problem-solving.
- Prior experience in the renewable energy or infrastructure sector is a plus.
