Associate/Senior Associate - Tax & Regulatory Services - CS (1-3 yrs)

Responsibilities include but not limited to:

1. Practical experience in Companies Act, 2013:

- Issuance of shares - Private Placement/ Rights Issue/ Bonus shares/ Buyback of shares

- Compliance - BEN-2; DPT 3; DIR - 3 KYC; MGT-6; Annual Filing forms of companies and LLPs, etc.

- Incorporation of domestic companies, wholly-owned subsidiaries and LLPs

- Conducting Board Meetings and General Meetings

- Event-based e-filings with ROCs like change of name, increase of capital, change of directors, change of registered office address, including inter-state, charge creations and satisfactions, and other e-forms

- Maintenance of statutory corporate records including minutes and registers

- Preparation and filing regarding e-stamping on the issue of share certificates with SHCIL

2. Practical experience in FEMA and RBI Reporting:

- Reporting for foreign investment in India (Form FC-GPR, FC-TRS, CN, LLP-I, LLP-II, DI, and ESOP)

- ECB compliance and reporting

- Reporting of overseas investment (Form FC)

- Periodic compliance with respect to inward and outward investment (Form FLA and APR)

- Event based filings and advisory

3. Assistance in due diligence of companies in terms of compliance and documentation

4. Knowledge of NBFC and Trust compliance

5. Drafting of agreements, certificates, and other documents

6. Practical experience in handling foreign incorporations by liaising with foreign agents or local offices in jurisdictions including but not limited to US, Singapore, UAE, UK and parts of Europe. Candidates with knowledge of basic compliance in these jurisdictions will be preferred.

7. Knowledge of valuation provisions for valuation requirement under Companies Act and FEMA

8. Knowledge and basic understanding of drafting capital structure of a company in the event of issuance of shares

Desired candidate profile:

- Qualified CS with at Post qualification experience of 1-3 years.

- An attitude of constant improvement and ability to think and decide quickly and to communicate legal issues and solutions clearly and concisely.

- Good grasp of commercial laws, regulations and legal concepts

- Excellent written and oral communication skills, including a clear and concise drafting style

- Ability to handle the pressure at work

- Ability to work with the team

- Ability to handle multiple tasking.

Note: The position offered can vary from Associate to Senior Associate.
