- We are looking for a Secretarial & Compliance Manager for our Powai office in Mumbai.
- This role involves handling corporate secretarial duties, regulatory compliance, and legal documentation, ensuring the company's adherence to RBI, Companies Act, and SEBI LODR regulations.
Roles and Responsibilities:
Secretarial Responsibilities:
- Manage routine corporate actions such as Increase in Share Capital, Private Placements, Rights Issues, and all periodic/annual filings under the Companies Act.
- Handle submission of various E-forms and ensure timely statutory compliance.
- Oversee procedures related to the appointment/resignation of Directors and KMPs.
- Manage all compliance requirements related to NCD issuances and listing.
- Prepare and maintain secretarial documentation (Agenda & Minutes) for Board Meetings, Committee Meetings, and Shareholder Meetings.
- Assist in conducting Board and Committee Meetings in compliance with regulatory standards.
- Monitor regulatory developments, assess their impact, and assist in drafting and vetting policies as per RBI, Companies Act 2013, and SEBI LODR.
- Maintain statutory registers and records as per legal requirements.
- Liaise with regulatory authorities including RBI, MCA, ROC, FIU, and coordinate with internal/external auditors.
- Manage Employee Stock Option Plans (ESOPs).
Legal Responsibilities:
- Draft and review agreements for funding, vendors/contractors, lease deeds, NOCs, and other legal correspondence.
- Maintain legal MIS and track ongoing legal cases, ensuring timely resolutions.
Skills & Qualifications Required:
- Education: CS (Company Secretary) qualification is mandatory.
- A Law degree (LLB) is a plus.
- Experience: 7-10 years in company secretarial and compliance roles, preferably in an NBFC or financial institution.
- Regulatory Knowledge: Strong understanding of RBI guidelines, SEBI LODR, Companies Act, and other financial regulations.
