Deputy Manager - Secretarial & Compliance (HDFC Pension Management)

Legal & Compliance team of HDFC Pension Management Company Ltd is having an urgent opening(s) for the role of DM - Secretarial & Compliance.

Job Description/ Responsibilities:

• Assist in preparing Notice, Agenda and Minutes of the Board and Committee Meetings and Shareholders Meetings and to ensure relevant pre and post meeting compliances
• Ensure compliance & reporting to Regulator under Regulations and other circulars & guidelines issued by MCA, PFRDA, SEBI and IRDAI, etc.
• Maintaining statutory books/ registers pursuant to the provisions of Companies Act, 2013 and any other applicable laws/ regulations, etc.
• Liasioning with the Registrar & Share Transfer Agent (RTA) w.r.t share registry and related work
• Assist in filing of various e-forms with MCA and PFRDA/IRDAI returns pertains to Directors/ shareholding
• Assist in proper conduct of Annual General Meeting and Extra-ordinary General Meeting/ Postal Ballot exercise, etc.
• Drive preparation of various reports of the Company including Directors Report, Corporate Governance Report and other related documents.
• Assist in attending to Statutory/ Internal/ Secretarial Audit & Regulatory inspection by PFRDA/IRDAI
• Assist in handling routine Company Law compliances, filing disclosures as applicable, website updates & overall functions of the Secretarial department so as to avoid any non-compliance
• Tracking of various regulatory updates/ compliances and updating team about the implications on an on-going basis
• Assist in work related to unlisted subsidiary companies.

Educational Qualification

• Bachelor’s degree from recognized university
• Qualification - Company Secretary.

Experience

• Minimum 3-4 years’ of domain experience
• Preferred Candidates from any reputed Conglomerate.
