Job Title: Senior Manager/ AVP - Company Secretary
About the Company: The company is a leading Housing Finance Company. It caters to the housing finance needs across India and operates in 175+ locations with 3,100+ employees.
Job Overview:
- Corporate Governance, Corporate Secretarial and NHB / SEBI Compliances
- Ensuring compliance with statutory and regulatory requirements.
- Maintaining records, statutory filings, other secretarial compliances and such other activities delegated from time to time.
- Takes a crucial role as a business strategist and planner. A CS is the business' internal compliance officer and legal expert who manages a system of checks and balances.
Key Roles & Responsibilities:
- Organize and facilitate board and board committee meetings, including preparing agendas, taking minutes, and ensuring timely follow-up on action items.
- Maintain statutory registers, records, and filings with regulatory authorities in line with the provisions of the Companies Act, and as per the guidelines issued by SEBI, NHB, and other regulators as applicable.
- Advise the board and senior management on corporate governance best practices and regulatory developments impacting the company.
- Coordinate with internal and external stakeholders, including auditors, legal counsel, and regulatory bodies.
- Provide support in the drafting of annual reports, disclosures, and other corporate communications.
- Stay updated on changes in laws, regulations, and industry trends relevant to the HFC sector.
- Handle any other tasks or projects assigned by senior management related to company secretarial matters.
- Mentor and groom the company secretarial team of the company for accomplishing their tasks successfully and as per the expected standards.
- Understanding of the various compliance and secretarial activities - academic knowledge of the Company law and allied acts and practical experience of working on various secretarial activities.
- Strong knowledge of Companies Act and SEBI Regulations.
- Well versed with end to end procedural compliances towards issuance of Debt securities.
- SEBI LODR Compliances pertaining to Debt Securities (Quarterly, Half-yearly, Annually etc.)
- Secretarial functions such as preparation of Notices, Agenda, Minutes of Board, Committees and shareholder's meetings
- Handling Secretarial, Statutory and Internal Audits for secretarial function
- Co-ordination with internal stakeholders such as Treasury, Finance, Compliance, Legal etc.
Experience Required (In Years): 12 to 20 years
Qualification Required: Qualified CS is minimum. LLB will be an added advantage.
