Job Purpose

To ensure that the organization complies with standard financial and legal practices, maintains high standards of corporate governance, and efficiently manages all statutory obligations related to board meetings, annual reporting, project-specific compliances, and record management.

Key Responsibilities

1. Board Meetings and Related Matters

- Organize and prepare agendas for board meetings and annual general meetings (AGMs).

- Draft minutes, resolutions, and other documentation for the board and committee meetings.

- Ensure timely communication of meeting details to directors and relevant stakeholders.

- Maintain records of board decisions and implement actions arising from board meetings.

- Advise the board on corporate governance matters and compliance with the Companies Act and other statutory regulations.

2. Annual Report and Related Activities

- Coordinate the preparation and dissemination of the company's annual report, ensuring it meets legal and regulatory requirements.

- Work closely with auditors, legal advisors, and stakeholders to compile necessary information.

- Ensure compliance with the filing of statutory returns with the Registrar of Companies (RoC) and other regulatory bodies.

- Assist with preparation of the company's annual return and financial statements.

3. Project-Specific Compliances

- Identify and manage compliance obligations for specific projects, ensuring alignment with industry regulations and internal policies.

- Liaise with project teams to ensure timely completion and filing of regulatory documents.

- Monitor and report on compliance status across various projects and advise on corrective actions if needed.

4. Governance and Compliance

- Ensure compliance with corporate laws, regulations, and the organization's internal policies.

- Keep the company updated on developments in relevant legislation and best practices in corporate governance.

- Handle secretarial audits, due diligence, and legal requirements for mergers, acquisitions, and other corporate actions.

- Ensure the integrity of governance frameworks and adherence to ethical standards.

5. Record Management

- Maintain statutory registers and ensure that accurate records are kept in accordance with legal requirements.

- Oversee documentation related to company incorporation, amendments, and shareholding.

- Develop a systematic approach to record retention, retrieval, and destruction in compliance with laws and internal policies.

- Implement digital solutions for effective documentation and record-keeping processes.

Qualifications and Skills

- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).

- Minimum 7 years of relevant experience in corporate secretarial and governance roles.

- Strong understanding of the Companies Act, SEBI regulations, and corporate governance frameworks.

- Excellent communication and organizational skills.

- Ability to manage multiple priorities and work under tight deadlines.

- Proficiency in secretarial and compliance software/tools.
