Job Description

Corporate Governance:
Ensure the company complies with its statutory obligations under relevant laws and regulations.
Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
Ensure that minutes are accurately recorded and maintained.
Contract Management:
Draft, review, and negotiate contracts, agreements, and other legal documents.
Ensure that contracts comply with all applicable laws and regulations.
Provide legal advice to the board of directors on all governance matters .
Regulatory Compliance:
Develop and oversee control systems to prevent or deal with violations of legal guidelines and internal policies.
Evaluate the efficiency of controls and improve them continuously.
Draft and revise company policies to align with current regulations.
Risk Management:
Conduct risk assessments to identify compliance risks.
Implement robust processes to mitigate identified risks.
Ensure the company operates in a legally compliant manner while achieving its business objectives.
Documentation and Reporting:
Maintain statutory books, including registers of members, directors, and secretaries.
File necessary documents with Companies House and other regulatory bodies.
Prepare and submit regular compliance reports to the management and regulatory bodies.
Stakeholder Communication:
Act as the primary point of contact between the board of directors and company stakeholders.
Handlecorrespondence, collate information, write reports, and communicate decisionsto relevant company stakeholders

Benefits
Qualifications:
Bachelors degree in Law and Professional qualification as a Company Secretary.
At least 3 years of experience in a similar role, preferably in the fintech industry
Strong knowledge of corporate, financial, and regulatory laws.
Excellent organizational and time-management skills.
High attention to detail and the ability to work under pressure.
Strong communication and interpersonal skills.
