Company Secretary
- To handle the secretarial activities of an unlisted public company & private companies like updation of statutory registers, filing of various e-forms;
- Preparation of notice, agenda and minutes of board and committee meetings, general meetings;
- Conducting board and committee meetings;
- To liaise / correspond with Shareholders;
- To give the information / document required by the Auditors for Internal and Statutory Audits;
- Should take care of compliances relating to Corporate Affairs.
- Obtaining Directors Identification No, Digital Signatures for Directors & KMP
- Hands on experience in incorporation of a Company, LLP.
- Responsible for Corporate compliances.
- Liaising with Regulatory Authorities for obtaining necessary sanctions and ensuring compliance with various statutory obligations;
- Compliances with respect to Related Party Disclosures, Dividend declaration etc.
- FEMA and FDI reporting, compliances
- Conversant with the latest amendments in corporate laws
Legal
- Draft Term contracts, Service Agreements, Lease deeds and contracts, as per the requirement
- Analyze contracts, reassess & finalize contracts to eliminate liability & reduce risk.
- Implement quality procedures and systems, identify areas of improvements, introduce modification, suggest improvement in existing processes, attain & maintain International standards.
- Liaison with government agencies and departments
- Provide legal advice and counsel within area of expertise to functional or operational area managers to ensure that their current or proposed activities, policies, business practices, and transactions comply with all relevant laws and regulations.
- Review legal analyses and technical reports and make recommendations to senior management on how to respond to legal issues or proposed changes in laws and regulations.
