General Manager - Legal & Secretarial
Responsibilities:
- Effective handling of litigation and prelitigation matters
- Timely and error free drafting and reviewing various agreements, policies, and other legal documents.
- Acting as the company secretary
- Help highlight evolving legal and regulatory issues.
- Support the Data Privacy and trade sanction compliance project
- Impart trainings for various stakeholders and coordinate for external trainings as per need
- Managing and updating systems, processes and standard documentation.
- Support on business advisory and interpretive issues.
- To contribute on various legal and compliance related projects at local and group level.
Contract Management:
- Draft, review, and negotiate various types of contracts under preview of the role including procurement agreements, share purchase agreements, power purchase agreements, service contracts, software licenses, and property leases.
- Develop and maintain agreement templates, playbooks and other relevant literature for commonly used agreements and legal documents.
- Interface with third parties for negotiation on the agreement terms.
- Ensure that all contracts comply with relevant legal standards and align with the company's strategic objectives.
- Capture business calls and risks / risk mitigation in document execution formats.
- Develop and maintain a centralized contract repository for easy access and tracking.
Litigation and regulatory matters Oversight:
- Manage all aspects of matters in pre-litigation and litigation stage, including case strategy development, discovery processes, and court appearances.
- Collaborate with external legal counsel to ensure effective representation in legal matters.
- Monitor litigation trends and outcomes.
- Setting up and maintaining standard operating processes for reporting of all significant notices from regulators and third parties and collaborate with relevant teams to support on closure / next steps as per need.
- Develop and maintain a central repository of all legal case files.
- Set up and maintain reporting mechanisms in compliance with internal guidelines
Corporate Secretarial:
- Prepare agendas, coordinate for supporting document, identify shareholder representatives for various meetings, and ensure proper documentation of minutes.
- Provide legal guidance during discussions to facilitate informed decision-making.
- Discharge the roles and responsibilities as a Company Secretary
- Coordinate with Board of Directors, shareholders and other key stakeholders.
Eligibility:
- LLB + CS qualification with 12 years of post LLB experience
- Preferably from Manufacturing companies
