Job Description

We are seeking an experienced and highly skilled Corporate Lawyer with over 5 years of proven expertise in corporate legal matters. The ideal candidate will be responsible for managing and overseeing the company's legal framework, ensuring compliance with all statutory regulations, and providing strategic legal advice. This role is pivotal in safeguarding our company's interests in all corporate legal matters.

Key Responsibilities:

Legal Advisory:

- Provide expert legal advice and support on a wide range of corporate and business law matters, including mergers and acquisitions, joint ventures, corporate governance, and regulatory compliance.

Contract Drafting & Negotiation:

- Draft, review, and negotiate contracts, agreements, and other legal documents to ensure the company's legal interests are protected.

Regulatory Compliance:

- Ensure compliance with all applicable laws, regulations, and internal policies related to corporate governance, labor laws, and other business operations.

Litigation Management:

- Handle legal disputes, liaise with external counsel, and manage litigation, arbitration, and other dispute resolution processes when necessary.

Risk Management: Identify potential legal risks within the business environment and provide proactive solutions to mitigate these risks.

Company Secretary Functions:

- Perform statutory duties related to company secretarial matters including conducting board meetings, maintaining corporate records, and handling legal paperwork related to company registrations.

Due Diligence:

- Conduct legal due diligence for mergers, acquisitions, and other business transactions.

Legal Research:

- Stay updated on the latest legal developments affecting the business, and ensure that the company remains compliant with changes in legislation.

Collaboration:

- Work closely with internal teams such as finance, HR, and operations to provide legal advice in alignment with business strategies.

Policy Formulation:

- Assist in the creation and review of internal policies to ensure they are compliant with legal and regulatory frameworks.

Qualifications and Requirements:

Education: Bachelor's degree in Law (LLB) from a recognized university. LLM will be an added advantage.

Experience: Minimum of 5 years of post-qualification experience, preferably in corporate law or in-house counsel for a mid-to-large corporation.
