Role Summary:
The Costing Head cum Company Secretary is responsible for ensuring the smooth operation of the company with respect to corporate governance, compliance, and administration. Additionally, the role involves managing and controlling costs within the organization through the implementation of cost management policies, budgeting exercises, forecasting, and variance analysis.
Key Responsibilities:
Cost Management Responsibilities:
• Develop and implement cost strategies to achieve business objectives, including cost reduction and optimization initiatives.
• Oversee the maintenance and development of cost accounting systems, including standard costs, overhead allocations, and inventory valuation.
• Review and analyse cost reports to identify trends, anomalies, and areas for cost optimization.
• Present findings and actionable recommendations to senior management.
• Lead the development of budgets and forecasts, including detailed cost estimates and projections.
• Identify and implement process improvements to increase efficiency and reduce costs.
• Lead and manage a team of cost accountants, providing guidance, training, and development opportunities.
• Ensure adherence to accounting standards, regulatory requirements, and company policies.
Company Secretary Responsibilities:
Corporate Governance:
• Provide administrative support to the Board of Directors, including preparing agendas, minutes, and resolutions.
• Maintain and update the company's governance framework, including the constitution, by-laws, and policies.
• Ensure compliance with relevant laws, regulations, and standards, such as company law, tax law, and financial reporting requirements.
Compliance and Regulatory:
• Prepare and file statutory returns, including annual returns, financial statements, and tax returns.
• Maintain accurate and up-to-date company records, including registers of members, directors, and charges.
• Obtain and maintain necessary licenses and permits to operate the business.
Administrative:
• Assist with the formation of new companies, including preparing incorporation documents and obtaining necessary approvals.
• Manage the company's share capital, including issuing and transferring shares, and maintaining the share register.
• Prepare and maintain accurate minutes of Board and shareholder meetings.
Advisory:
• Provide advice on corporate law matters, including company formation, mergers and acquisitions, and corporate restructuring.
• Advise the Board on governance best practices and ensure alignment with industry standards.
• Identify and mitigate risks associated with company operations, including compliance, reputational, and financial risks.
Other Responsibilities:
• Facilitate communication between the Board, management, and stakeholders.
• Provide training and guidance to directors, employees, and stakeholders on corporate governance and compliance matters.
• Undertake special projects, such as corporate restructuring, mergers and acquisitions, or due diligence exercises.
