Qualification: Qualified CS/ CA (preferred)
Location: Fort, Mumbai
Experience: 10-13 years in handling the secretarial compliances of listed & unlisted public limited company
Job Description:
1. Ensure secretarial compliance for group companies included:
a) To review Agenda, Minutes and Resolutions for the meeting of Board, Shareholders, Audit Committee, CSR Committee, NRC Committee, ID meeting and AGM held on time to time as applicable.
b) To review various notes for the top management, Case for opinion, resolutions etc.
c) To handle entire ROC filing
d) To review Notice, Director Report, shorter notice, and extract of the Annual Return
e) To review various notes for the top management, Case for opinion, resolutions etc.
f) To responds RoC, RBI on various queries on time to time.
2. Ensure prepare activity based Compliances and documentation/responses:
a) Restructuring exercise involved Merger, Demerger, amalgamation, consolidation of capital, Reduction of Capital
b) Documentation for Borrowing from Bankers, providing Corporate Guarantee, Letter of Comfort, Mortgage/Charge on land and pledge of shares.
c) Compliance pertaining to Significant Beneficiary Ownership-SBO
d) Dematerlisation and transfer of Promoters shareholding.
e) Contribution for CSR Expenditures
f) Right Issue, Preferential Allotment of the Equity Shares, Preference Shares.
g) Issuance and redemption of debentures
3. Stock Exchanges Disclosures and responses
a) Compliances for promoter inter-se transfer of shares of listed companies
b) Sale/ Purchases in open market, bulk deal/blockdeal
c) Disclosures for pre and post trade approval from designated officer
d) Trading during window closure
e) Annual Promoter disclosures
f) FilingofFormC,FormB,DisclosuresunderSASTRegulation29(1)and29(2), Regulation 10
g) Filing of SEBI Reports.
4. Documentation for Credit Rating of the Company, Issuance of NCDs, Giving Advance and Taking ICDs
5. Make Sure the Secretarial Audit and documentation for Statutory Audit.
6. Reviewing the Compliances
