Conduct Secretarial Audit and Corporate Governance Audit.
Ensure compliance with the Companies Act, 2013, and related regulations.
Manage compliance with SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
Ensure adherence to SEBI (Prohibition of Insider Trading) Regulations, 2015.
Oversee compliance with SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.
Manage compliance with SEBI (Share Based Employee Benefits) Regulations, 2014, particularly related to Equity Shares issued under ESOP Scheme.
Organize and document various meetings including Board, Committee, Shareholder meetings, and others; draft meeting notices, agendas, and minutes.
Facilitate passing resolutions through Postal Ballot for Listed Companies as per Companies Act, 2013.
Draft Annual Reports, including notices of Annual General Meetings, Directors' Reports, and Corporate Governance Reports.
Prepare and file e-forms, returns, and applications with the Registrar of Companies (ROC) via the MCA portal.
Maintain Secretarial Records of the Company, including statutory books and registers.
Address grievances/complaints of investors in a timely manner.
Draft various policies for the Company as required under SEBI (LODR) Regulations, 2015, SEBI (Prohibition of Insider Trading) Regulations, 2015, and other relevant statutes.
Ensure compliance with RBI & FEMA regulations, including filing Annual Return on Foreign Liabilities and Assets, reporting foreign investments, and Annual Performance Reporting.
Manage compliance under IEPF Rules from the Company's perspective.
Qualifications:
Bachelor's degree in Law, Commerce, or related field.
Company Secretary (CS) qualification is mandatory.
Strong understanding of corporate laws, SEBI regulations, and other relevant statutes.
Excellent communication and drafting skills.
Ability to multitask and prioritize tasks effectively.
Attention to detail and a proactive approach to problem-solving.
Proficiency in MS Office Suite and familiarity with MCA portal.
