Job Title: Senior Analyst

Mode of Work: WFH/WFO/Hybrid 

Experience: 3 - 6 years.


Our Transaction Advisory team is one of the growing teams in our office. As part of our team, you will provide our clients your valuable inputs by using your skills and experience to give companies, investors, and regulators confidence in the validity of financial statements and business-critical information or processes. 


Job Summary: 


We are seeking an experienced Financial Due Diligence and M&A Deal Advisory Specialist to lead and support high-stakes transactions. This role emphasizes the preparation and analysis of data books, quality of earnings (QoE) assessment, working capital review, and M&A advisory. The successful candidate will be involved in each phase of the transaction lifecycle, providing clients with insightful due diligence and valuation support that drives informed decision-making


A successful Transaction Advisory Analyst should:


  • Possess technical knowledge sufficient to lead engagements, including coordinating workflow & tasks with clients; resolve experience to provide valuations support.
  • Possess significant knowledge of various due diligence and deal advisory methods and techniques. 
  • Take ownership and independence for delivery of high-quality work. Develop self and others through seeking and offering on the job coaching and audit engagement experiences.
  • Execution and understanding of different financial models and building them.
  • Demonstrate professional skepticism and compliance with our risk management and independence policies. 
  • Start to build relationships across our client offerings and seek opportunities to work together.
  • Build strong credibility through displaying good insight and business acumen, applying technical competence, and engaging in relevant discussions with clients and engagement teams.

Key Responsibilities: 


  1. Financial Due Diligence
  • Conduct detailed Quality of Earnings (QoE) Analysis to assess the reliability and sustainability of earnings, providing clarity on EBITDA and normalized EBITDA adjustments.
  • Perform comprehensive Working Capital Analysis, including in-depth evaluation of DSO, DPO, and DIO metrics to prepare a normalized working capital assessment.
  • Analyse the balance sheet, focusing on liquidity, AR/AP aging, and cash flow assessments to ensure alignment with the financial health of the target.
  1. Mergers and Acquisitions (M&A) Advisory
  • Provide Pre-Deal Advisory support by identifying and screening acquisition targets that align with client strategic objectives.
  • Conduct Valuation and Pricing Analysis for potential targets, incorporating financial performance and market conditions to develop a valuation model.
  • Assess Synergy Opportunities and conduct scenario analysis, emphasizing operational, financial, and technological integration points.
  1. Deal Structuring and Transaction Management
  • Advise on deal structuring and tax planning strategies to ensure maximum transaction efficiency and alignment with client goals.
  • Transaction Management: Oversee transaction timelines, milestones, and client communications, ensuring smooth and timely deal progression.
  1. Databook Preparation and Reporting
  • Prepare comprehensive Databook to support due diligence, incorporating critical financial data and ensuring accuracy, consistency, and compliance with best practices.
  • Lead the preparation of Due Diligence Reports, presenting findings on QoE, working capital, balance sheet health, and risk exposure.

To qualify, candidates must have:


  • Qualifications: CPA/CFA/CA, or equivalent with 3+ years of experience in financial due diligence, M&A advisory, or transaction support.
  • Skills: Advanced proficiency in financial analysis, Databook preparation, financial Modeling, and QoE assessments.
  • Experience: Prior experience with Big 4 or other consulting firms in transaction advisory or due diligence is highly preferred.
