Job Description

We are seeking an experienced Financial Due Diligence (FDD) Manager with expertise in cross-border transactions and a strong focus on the U.S. market. This is a front-end role, requiring advanced financial analysis skills and the ability to work closely with clients and teams globally. The ideal candidate will be adept at handling Quality of Earnings (QoE) analysis and Net Adjustment (NE) tables to deliver detailed insights for mergers, acquisitions, and investment opportunities. Shift timings for this role will be from 3:00 PM to 12:00 AM to align with U.S. business hours.


Preferred Experience:

  • Experience working in a Big 4 or similar advisory firm, handling concurrent engagements.
  • Hands-on exposure to work diligence in varied industries in the U.S market.

Key Responsibilities:

  • Lead Due Diligence Engagements: Manage multiple FDD assignments simultaneously, focusing on acquisitions, mergers, and investment opportunities in the U.S. market.
  • Quality of Earnings (QoE): Conduct detailed QoE analyses, highlighting core earnings performance and eliminating one-off or non-recurring items.
  • Net Adjustment (NE) Tables: Prepare and analyze NE adjustment tables to assess and reconcile working capital, debt, and other transaction-related items.
  • Financial Analysis: Review target companies financial statements, identifying risks, opportunities, and potential deal-breakers.
  • Cross-Functional Collaboration: Work with tax, legal, and operational due diligence professionals across global teams to ensure seamless project execution.
  • Reporting & Communication: Prepare clear and concise reports, presenting findings and actionable recommendations to senior management, clients, and stakeholders.
  • Resource Management: Strategize to efficiently manage resources and ensure high-quality outcomes within tight deadlines.
  • Team Leadership: Supervise and mentor junior team members, fostering professional growth and accountability.

Key Qualifications:

  • Educational Background: Chartered Accountant (CA) preferred.
  • Experience:
    • 3–7 years of experience in Financial Due Diligence, Transaction Advisory Services, or related fields.
    • Expertise in Quality of Earnings (QoE) analysis and Net Adjustment (NE) tables preparation.
    • Experience conducting due diligence in the U.S. market, with exposure to diverse industries.
    • Proven ability to handle multiple complex assignments in a deadline-driven environment.
  • Technical Expertise:
    • Deep knowledge of U.S. GAAP, IFRS, and other international accounting standards.
    • Proficiency in financial modeling and advanced Excel skills.
  • Communication Skills: Strong verbal and written communication, with the ability to present findings effectively to clients and stakeholders.
  • Industry Knowledge: Familiarity with key U.S. sectors such as Technology, Healthcare, and Energy.
  • Cross-Border Experience: Demonstrated experience in cross-border transactions, including participation in management calls.
  • Organizational Skills: Exceptional multitasking abilities, ensuring high-quality results across multiple engagements.
