Job Description
Qualification:-
CS
LLB will be an added advantages.
Experience:-
15 years in large/listed entity, legal work.
At least 8 years of experience in a listed/large entity with external shareholders.
Key Responsibilities:-
- Board Members, Promoters
- Investors, Internal & External Auditors, Financial Institutions & Government Agencies
- Facilities the convening of board, Shareholders & Board holders meetings, including drafting of notice, agenda & accurately recording & maintaining the minutes of said meetings.
- Ensure the company is complying with all secretarial standards including all applicable MCA filings.
- Act as a Liaison, Certifying officer & Compliance officer on behalf of the company with various stakeholders including local authorities, legal advisers, internal auditors. & secretarial auditors on subject of compliances.
- Offer comprehensive guidance to the Board members & seniors on strategic decision on capital structure, legal & financial decisions etc.
- Overseeing compliance and maintaining accurate records for companywide relevant regulations and RBI/NBFC guidelines when applicable.
- Provide support in Internal Audit, Statutory Audit, Secretarial Audit, Corporate Governance, RPT Audit and due diligence.
- Keeping Abreast of changes in the regulatory standards and financial rules & regulation and impart the same with the team.
