Company Secretary
Responsibilities:
- Maintain a deep understanding of corporate governance principles, company law, and regulatory frameworks.
- Develop and implement effective corporate governance policies and procedures.
- Oversee board and committee meetings, ensuring proper procedures and documentation.
- Prepare and maintain board materials and other governance-related documents.
- Manage board and committee agendas, minutes, and action items.
- Liaise with board members, management, and external stakeholders on governance matters.
- Advise on and address potential governance risks and ensure compliance with relevant regulations.
- Maintain accurate and up-to-date records of all corporate governance activities.
- Conduct research and stay updated on evolving corporate governance best practices and regulatory changes.
Qualifications:
- Strong understanding of corporate governance principles, company law, and regulatory compliance.
- Excellent communication and interpersonal skills, with the ability to interact effectively with all levels of the organization.
- Ability to handle confidential and sensitive information with discretion and integrity.
- Demonstrated experience in managing board and committee meetings, including agenda preparation, minute taking, and action item tracking.
- Meticulous attention to detail and strong organizational skills.
- Professional certification in corporate governance, such as ICSI qualification.
- Bachelor's degree in Business Administration, Law, or a related field
