Job Summary:
We are looking for an experienced Legal Manager to join our dynamic team at an NBFC (Non-Banking Financial Company). The ideal candidate will be responsible for overseeing legal aspects related to loan documentation, regulatory compliance (RBI guidelines), and debt recovery for both secured and unsecured loans. This role will also involve managing legal matters related to vendor agreements. The position requires a proactive, detail-oriented individual with a deep understanding of financial services law.
Key Responsibilities:
1. Legal Documentation & Compliance:
- Draft, review, and ensure the accuracy of loan agreements, security documents, vendor contracts, and other legal documents.
- Ensure that all legal documents comply with RBI regulations and other relevant financial legislation.
- Maintain a thorough understanding of evolving regulatory requirements for NBFCs and ensure internal policies are up to date.
2. Regulatory & Risk Management:
- Monitor and ensure compliance with RBI regulations, legal frameworks, and any updates on financial services laws that affect the company.
- Advise senior management on legal risks, regulatory changes, and compliance strategies.
- Coordinate with internal teams (such as finance and risk) to ensure effective regulatory compliance and risk mitigation.
3. Debt Recovery & Legal Action:
- Manage the legal process for recovering both secured and unsecured loans, including but not limited to SARFAESI Act, Debt Recovery Tribunals (DRT), and arbitration.
- Issue legal notices and represent the company in litigation matters related to loan defaults, settlements, and foreclosures.
- Collaborate with recovery teams to develop effective legal strategies for loan recovery.
4. Vendor Management & Contract Negotiation:
- Draft, review, and negotiate vendor agreements to ensure legal compliance and protect the company's interests.
- Resolve legal disputes related to vendors and service providers, including contract breaches, indemnity issues, and performance-related matters.
- Ensure timely renewals and updates of vendor contracts to remain in line with business needs and regulatory standards.
5. Legal Advisory & Litigation Support:
- Provide legal counsel to management and internal teams on various matters including operational, regulatory, and contractual obligations.
- Manage and coordinate with external legal counsels for litigation, arbitration, or other legal proceedings as needed.
Key Skills & Competencies:
- In-depth knowledge of NBFC regulations, RBI guidelines, financial services laws, and vendor agreements.
- Proven experience in loan documentation, secured & unsecured loan recovery, and debt recovery litigation.
- Strong negotiation skills and experience in managing vendor contracts and resolving legal disputes.
- Experience with SARFAESI Act, Debt Recovery Tribunals, arbitration, and other relevant recovery processes.
- Excellent communication, problem-solving, and analytical skills.
- Ability to collaborate effectively with cross-functional teams, including finance, compliance, and recovery teams.
Preferred Qualifications:
Experience working in an NBFC / Banking / Financial Services environment.
Familiarity with vendor management, contract law, and dispute resolution in a corporate setting.
