Deputy General Manager/General Manager - Legal & Secretarial
About our Client:
- Our client is an asset reconstruction company (ARC) duly registered with the Reserve Bank of India.
- It is a recognized leader in distressed consumer debt buying and recovery.
- It purchases defaulted consumer loans from major banks, credit unions, and utility providers and works directly with consumers as they repay their obligations.
General Summary:
- The incumbent would be able to take care of various compliances of the ARC under the Companies Act, 2013, RBI regulations and other applicable laws and effectively organize and conduct the board & committee meetings.
Principal Responsibilities:
- Managing the secretarial activities such as Board and Committee Meetings, preparing agenda and minutes, liaison with sponsors, shareholders, directors, and regulators
- Tracking, managing and monitoring existing and emerging regulatory compliance requirements for the ARC operations in India.
- Convene and service board meetings, AGMs, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments
- Timely preparation & submission of reports and returns with the regulators
- Drafting and vetting of policies and procedures
Required Skills, Education and Experience:
- Education: Company Secretary and Law Graduate from a reputed institute
- Experience: 17+ years of post-qualification with a reputed organization or a financial services company
- PC Skills: MS Office (Advance)
Other Skills:
- Excellent oral, written and communication skills Embrace changes in a dynamic environment
Preferred Skills, Education and Experience:
- Strong academic results and extensive knowledge of Companies Act, RBI Regulations, corporate laws and regulatory guidelines pertaining to ARC, NBFCs
- Preferably Bank/NBFC/Financial services company
