Job Description: Looking for CS+LLB
Corporate Secretarial Functions:
1. Ensure compliance with the Companies Act, 2013, and applicable rules & regulations.
2. Maintain and update statutory records, registers, and filings with the Ministry of Corporate Affairs (MCA).
3. Draft and file Board Resolutions, Minutes of Meetings (AGMs, EGMs, Board, and Committee Meetings).
4. Liaise with directors, auditors, and stakeholders for corporate governance matters.
5. Handle share issuance, transfer, and other corporate actions.
6. Ensure compliance with MCA, RBI, and FEMA regulations, as applicable.
Legal & Compliance Responsibilities:
1. FEMA Compliance:
-Monitor and ensure compliance with Foreign Exchange Management Act (FEMA) regulations.
- Handle Foreign Direct Investment (FDI), External Commercial Borrowings (ECB), and Overseas Direct Investment (ODI) reporting.
- Coordinate with Authorised Dealer Banks (AD Banks) for FEMA-related filings.
- Ensure compliance with Annual Return on Foreign Liabilities and Assets (FLA), Single Master Form (SMF), and other RBI filings.
2. Contract Management & Commercial Transactions:
- Draft, review, and negotiate various commercial contracts, including vendor agreements, service agreements, NDAs, and partnership agreements.
- Advise on contract risks, obligations, and dispute resolution.
- Ensure contractual compliance with corporate policies and legal standards.
3. Regulatory & Compliance Oversight:
- Monitor changes in corporate laws, FEMA, RBI guidelines, and commercial laws, ensuring timely implementation of regulatory updates.
- Conduct legal research on applicable laws and compliance frameworks.
- Develop and maintain internal legal policies and compliance guidelines.
4. Litigation & Dispute Management:
- Assist in managing legal disputes, notices, and litigation, including coordination with external legal counsel.
- Draft and review legal notices, responses, and settlement agreements.
5. Risk Management & Advisory:
- Provide legal advice on corporate governance, regulatory affairs, and strategic business transactions.
- Identify and mitigate legal risks associated with business operations.
