Role Overview:
The Company Secretary will be responsible for ensuring compliance with statutory and regulatory requirements, maintaining records and registers, organizing board meetings, and communicating with shareholders. The role requires a strong understanding of corporate governance, legal documentation, and stakeholder management.
Key Responsibilities (KRA):
- Ensure compliance with Companies Act, SEBI Regulations, and other corporate laws.
- Manage and oversee regulatory filings, including ROC, SEBI, RBI, and Stock Exchange requirements.
- Handle secretarial and corporate governance matters, ensuring adherence to best practices.
- Organize, schedule, and document board meetings, committee meetings, and general meetings.
- Draft and review legal documents, including agreements, resolutions, and policies.
- Liaise with regulatory authorities, legal advisors, auditors, and internal stakeholders.
- Maintain statutory books, registers, and records as per compliance requirements.
- Ensure timely disclosures and compliance with Listing Obligations and Disclosure Requirements (LODR).
- Assist in corporate restructuring, mergers, and acquisitions from a legal perspective.
- Handle shareholder communication, grievances, and corporate disclosures.
- Conduct legal due diligence and ensure compliance with corporate governance frameworks.
- Assist in drafting and implementing corporate policies and internal controls.
- Keep abreast of amendments in laws and ensure timely adaptation of regulatory changes.
Qualifications:
- Qualified Company Secretary (CS) from ICSI.
- Master's/Bachelor's degree in Law, Business, or a related field (preferred).
- 5-8 years of experience in company secretarial roles, preferably in a listed company.
