Corporate Legal Manager

The Corporate Legal Manager will provide legal support and guidance to the companys operations, ensuring that the business complies with all relevant laws and regulations. The role involves managing legal risks, drafting and reviewing contracts, handling corporate governance, and working closely with senior management to safeguard the companys legal interests.

Key Responsibilities:

• Corporate Governance:
  
• Advise the management team on corporate governance matters.
• Ensure compliance with all statutory and regulatory requirements in relation to company formation, corporate filings, and shareholder meetings.
• Draft and review board meeting agendas, minutes, resolutions, and other corporate governance documents.
• Contract Drafting and Review:
  
• Draft, review, and negotiate a wide range of contracts and agreements, including commercial contracts, supplier agreements, non-disclosure agreements (NDAs), and joint venture agreements.
• Ensure that contracts are legally sound and compliant with company policies and relevant laws.
• Legal Compliance & Risk Management:
  
• Identify legal risks related to business operations and provide proactive advice on mitigating those risks.
• Ensure the company complies with relevant laws and regulations across all jurisdictions of operation.
• Manage internal audits and assist with the development of compliance programs and policies.
• Mergers, Acquisitions & Corporate Transactions:
  
• Support corporate transactions, including mergers, acquisitions, joint ventures, and investments, by providing legal due diligence, drafting agreements, and coordinating with external legal counsel.
• Advise on structuring, financing, and regulatory considerations for corporate deals.
• Intellectual Property:
  
• Advise on intellectual property (IP) issues such as patents, trademarks, copyrights, and trade secrets.
• Oversee the protection of the company’s IP portfolio, including registrations, enforcement, and licensing agreements.
• Legal Advisory to Senior Management:
  
• Provide legal guidance and support to senior management and business units on a wide range of legal matters.
• Stay updated on changes in laws and regulations that affect the company’s operations and advise on necessary adjustments.
• Document Management & Reporting:
  
• Maintain and organize all legal documents, contracts, and records.
• Prepare and present regular legal reports to senior leadership and stakeholders.
• Team Management (if applicable):
  
• Supervise and mentor junior legal staff, providing training, support, and guidance on legal matters.
• Ensure the team is aligned with the company’s legal objectives and values.
