Role Summary:
- This is an execution-driven role designed to support the Legal & Company Secretary Team in managing day-to-day corporate secretarial, legal and compliance functions.
The ideal candidate
- Will be responsible for implementing compliance and documentation tasks with precision and timeliness, ensuring strict adherence to relevant regulations, including the Companies Act, 2013, SEBI regulations and FEMA.
Key Responsibilities:
- Assist the Company Secretary/Legal team in undertaking routine corporate secretarial tasks, focusing on the timely and accurate drafting of documentation, filings and compliance submissions.
- Prepare and finalize corporate documents such as board and shareholder meeting notices, agendas, minutes, resolutions, directors' reports, and annual/extraordinary general meeting records.
- Maintain statutory registers and ensure records are up-to-date.
- Manage the internal contract management database and keep it updated.
- Responsible for filing, registering and uploading statutory forms, returns and other mandatory documents with regulatory authorities, ensuring full compliance.
- Execute compliance tasks under SEBI regulations, the Companies Act, 2013 and secretarial standards as directed by the Company Secretary.
- Track, monitor and implement new regulatory updates weekly, ensuring company policies and actions remain compliant with applicable regulations under Companies Law, SEBI, RBI, FEMA etc.
- Conduct hands-on tasks related to FEMA compliance, including filings like FCGPR, FCTRS, FLA and draft basic policy documents as required.
- Coordinate with various stakeholders such as Registrar, Depositories, Auditors focusing on the completion of action items.
- Assist in reviewing routine agreements such as Service Agreements, Consultancy Agreements, NDAs etc. ensuring compliance with execution protocols.
Requirements:
- Strong execution skills with attention to detail and the ability to manage multiple tasks with accuracy
- Strong drafting skills
- Excellent organizational, analytical and problem-solving abilities.
- Qualification: Qualified Company Secretary (LLB preferred).
- Experience: 2-4 years in a similar role.
