Main Role : The Corporate Legal Head will lead the legal function of the company during its Corporate Insolvency Resolution Process (CIRP) and beyond, ensuring compliance with legal frameworks, managing disputes, and providing strategic legal counsel to support the company's financial and operational restructuring.
This critical role requires a seasoned legal professional with expertise in corporate law, insolvency regulations, and governance for listed entities.
This position offers a unique opportunity to lead the legal function of a listed sugar manufacturing company during a transformative phase and contribute to its strategic turnaround.
Key Responsibilities:
Legal Strategy & Advisory:
- Develop and execute the company's legal strategy in alignment with the CIRP process and resolution plan.
- Provide legal advice to the Resolution Professional (RP), Committee of Creditors (CoC), and management on matters related to insolvency, corporate governance, and compliance.
CIRP Legal Compliance:
- Ensure full compliance with the Insolvency and Bankruptcy Code (IBC) and related regulations.
- Collaborate with the RP to prepare legal documents, including petitions, affidavits, and other filings required by the National Company Law Tribunal (NCLT).
Litigation Management:
- Manage ongoing litigations, arbitrations, and disputes involving the company.
- Coordinate with external legal counsels to represent the company in legal proceedings.
Regulatory Compliance:
- Ensure compliance with SEBI, BSE, and other regulatory requirements applicable to listed companies.
- Monitor developments in laws and regulations and provide guidance to ensure adherence.
Contract Management:
- Review, draft, and negotiate commercial contracts, agreements, and MOUs.
- Safeguard the company's interests by identifying and mitigating legal risks in agreements.
Stakeholder Management:
- Act as a liaison between the company, RP, CoC, creditors, and regulators.
- Provide timely legal updates and disclosures to stakeholders.
Corporate Governance:
- Advise on corporate governance issues, including compliance with listing obligations and disclosure requirements.
- Support the RP in maintaining transparent and ethical business practices.
Team Leadership:
- Lead and mentor the legal team to ensure high standards of performance and efficiency.
- Foster a culture of compliance, integrity, and proactive risk management.
Qualifications & Experience:
Education: LLB/LLM from a recognized university; additional certifications in corporate law or insolvency law are preferred.
Experience:.
- Minimum 15+ years of legal experience, with at least 5 years in a senior leadership role.
- Proven expertise in managing legal matters for listed companies, preferably handling insolvency processes, corporate restructuring, and regulatory compliance.
Skills:
- Strong knowledge of IBC, Companies Act, SEBI regulations, and NCLT proceedings.
- Excellent negotiation, drafting, and analytical skills.
- Ability to manage multiple stakeholders in high-pressure environments.
