Position Overview:
- We are seeking a highly experienced and dynamic legal professional to join our team as the Head of Legal. This role is critical to driving legal strategy, managing compliance, and supporting business growth for a leading infrastructure company.
- The ideal candidate will bring extensive expertise in mergers and acquisitions (M&A), a deep understanding of banking and financial transactions, and the ability to manage complex legal challenges in the infrastructure sector.
Roles and Responsibilities:
Legal Strategy and Leadership:
- Develop and execute the legal strategy to align with organizational goals.
- Provide strategic legal counsel to the leadership team on all matters impacting the company.
Mergers & Acquisitions (M&A):
- Lead and manage legal aspects of M&A transactions, including due diligence, structuring, negotiation, and documentation.
- Collaborate with cross-functional teams to ensure seamless execution of deals.
Banking and Financial Transactions:
- Oversee legal aspects of banking, project finance, and other financial transactions.
- Draft, review, and negotiate loan agreements, guarantees, and other financial documents.
Regulatory Compliance and Risk Management:
- Ensure compliance with applicable laws, regulations, and corporate governance standards.
- Proactively identify and mitigate legal risks.
Contracts and Agreements:
- Draft, review, and negotiate a wide range of contracts, including vendor agreements, joint ventures, and service agreements.
- Manage contract disputes and provide dispute resolution strategies.
Team Management:
- Lead and mentor the legal team to enhance performance and develop legal talent.
- Collaborate with external counsel as necessary to address complex legal matters.
Qualifications and Skills:
Education: LLB/LLM from a reputed university.
Experience: Minimum of 12-15 years of legal experience, with a strong focus on
M&A and banking transactions in the infrastructure sector.
Expertise:
- Proven track record of handling high-value M&A deals.
- In-depth knowledge of banking and financial laws and regulatory frameworks.
- Familiarity with infrastructure-related legal matters is highly desirable.
Skills:
- Strong analytical, negotiation, and problem-solving skills.
- Exceptional communication and interpersonal skills.
- Ability to work under pressure and handle multiple priorities.
