Position Overview:
We are seeking a highly experienced Senior Corporate Lawyer with a strong background in US Laws, Corporate Law, and various aspects of legal drafting. The ideal candidate will have a comprehensive understanding of complex legal processes, including Mergers and Acquisitions, Due Diligence, and providing assistance to US Attorneys. This role requires excellent legal acumen and the ability to manage multiple legal projects efficiently

Key Responsibilities

• Draft, review, and negotiate various legal documents, including NDAs, MSAs, and other commercial contracts.
• Provide expert legal advice on corporate law, mergers and acquisitions, and due diligence processes.
• Assist US attorneys in various legal matters, including preparing legal documents, conducting legal research, and case management.
• Key role playing in Merger & Acquisition.
• Ensure compliance with all applicable US laws and regulations.
• Oversee and manage all legal aspects of mergers and acquisitions.
• Conduct thorough due diligence and risk assessments for potential corporate transactions.
• Develop and implement legal strategies to support business objectives.
• Represent the company in negotiations, mediations, and other legal proceedings.
• Liaise with external legal counsel and stakeholders as needed.
• Stay updated on relevant laws, regulations, and industry trends.
• All other Business transactions related to Legal department.

Mandatory Skills and Qualifications

• Experience: Minimum of 13-15 years in corporate law, with a focus on US laws, legal drafting, and corporate transactions.
• Education: Post Graduate Degree in Law / Corporate Law
• Skills:
• Extensive experience in drafting and negotiating legal documents such as NDAs, MSAs, and other contracts.
• Proficient in conducting due diligence and managing mergers and acquisitions.
• Strong analytical and problem-solving skills.
• Excellent communication and negotiation skills.
• Ability to manage multiple legal projects simultaneously and work under tight deadlines.
• Knowledge: Deep understanding of US corporate law, regulations, and legal procedures.
