Legal Manager - Location: Mumbai

Role & responsibilities:

An individual with comprehensive understanding of corporate law, regulations, and governance principles.

• Should have a track record of managing legal issues and providing effective solutions.
• Should have good understanding of legal complexities and have strong analytical skills, exceptional attention to detail, and the ability to provide timely and sound legal advice to various departments within the organization.
• An individual who has relevant experience in-an house or law firm setup , preferably in corporate law, documentation as well as disputes.
• Should have a strong knowledge of contract law, company law, intellectual property rights law, procedural laws.
• Having prior experience/knowledge of intellectual property rights laws is preferable but not mandatory.

+ You would have:

• Demonstrated experience in overseeing entire lifecycle of various agreements. This includes drafting, reviewing, negotiating and finalizing various agreements and other legal documents such as share purchase/subscription agreements, shareholders agreements, lending documents, land documents, commercial contracts, supply agreements, service agreements, non-disclosure agreements, MoUs etc.
• Experience of working on corporate transactions, including M&A, financing and due diligence processes.
• Experience and knowledge of handling litigation and arbitration matters, including working with external lawyers and law firms, conducting legal research, reviewing and assisting in finalizing legal pleadings, attending legal proceedings, preparing and maintaining legal MIS etc...
• Ability to effectively manage time to manage multiple projects and meet deadlines.

+ You would be responsible for:

1.Legal Advisory:

• Conducting comprehensive legal research, analysing case laws, regulations to provide legal advice and guidance to various stakeholders.
• Analysing complex legal issues, interpreting laws and providing well-founded legal opinions and guidance to support the organizations decision-making process.

2.Documentation:

• Drafting, reviewing, negotiating and finalizing various agreements and other legal documents while ensuring that these documents comply with regulatory requirements and mitigate legal risks.

3. Litigation Support:

• Preparing case summaries and materials, conducting legal research, and coordinating with various internal stakeholders for drafting of the pleadings.

Reviewing and finalizing pleadings.

• Collaborating with external counsel in managing litigation and dispute resolution.
• Attending proceedings before various courts/fora

4.Transactions

• Collaborating with cross-functional teams and external counsel in legal due diligence processes for mergers and acquisitions, investments, divestments, lending transactions
• Drafting, review, and negotiation of transaction documentation including term sheets, definitive agreements and closing documentation.
• Advising on the structuring, and related ancillary activities.

5. Risk Mitigation:

• Staying updated on all legal developments and actively identifying potential legal risks and vulnerabilities, taking proactive measures to mitigate such risks and protect the organization's interests.
