We are seeking a dynamic and meticulous Contract Analyst to manage the full lifecycle of contracts, supporting our clients' business goals through seamless contract administration, negotiation, and compliance. The ideal candidate will have a background in law with experience in corporate contract management, particularly within IT. As a Contract Analyst, you'll be responsible for handling high-revenue contracts, ensuring compliance, and supporting various contract-related needs such as renewals, terminations, and dispute resolution.
Roles and Responsibilities:
- Contract Lifecycle Management: Take full ownership of the Contract Lifecycle Management (CLM) process, implementing strategies that align with best practices and business goals.
- Contract Execution and Administration: Execute and oversee outsourced contract management processes for clients, ensuring accurate documentation and administration of various legal agreements, such as License, Service, ADM, IT, EUC, and Non-Disclosure Agreements.
- Contract Drafting and Abstraction: Draft and abstract contracts with precision, maintaining a daily contract administration process. Document key terms, obligations, and compliance requirements, ensuring consistency across all client contracts.
- Process Establishment: Design and implement contract management processes for high-revenue deals, standardizing best practices for quality and efficiency.
- Compliance and Non-Compliance Management: Develop tracking mechanisms for deliverables and ensure adherence to contract terms. Identify non-compliance issues, analyze root causes, and assist in developing solutions to resolve them.
- Contract Research and Client Support: Conduct in-depth contract research and provide insights to address client inquiries on complex IT agreements and other contract-related matters.
- Change Management and Documentation: Manage and document contract changes, new work proposals, and other amendments. Ensure all changes are accurately reflected in the master contract records.
- Negotiation Support: Assist in contract negotiation processes by researching, reviewing, and analyzing legal terms. Offer insights to support effective negotiation and ensure alignment with business and legal standards.
- Renewal and Termination Management: Oversee contract renewal and termination processes, ensuring timely preparation of necessary documentation and effective coordination with internal and external stakeholders.
- Issue Resolution and Dispute Management: Provide support for issue and dispute resolution related to contractual obligations. Collaborate with relevant teams to address concerns and ensure amicable solutions.
- Correspondence Management: Manage legal notices, approvals, consents, and other essential contract-related correspondence. Ensure all communications are documented, tracked, and addressed promptly.
Required Qualifications, Skills, and Experience:
- Education: Bachelor's or Master's degree in Law from an accredited institution.
Experience:
- At least 6-12 months practicing law (preferred).
- 2-5 years of experience in corporate law with a focus on contract management.
- Demonstrated experience in IT contract administration, drafting, and legal research.
Technical Skills:
- Proficiency in Microsoft Office Suite (Excel, Word, PowerPoint, Publisher, Visio).
- High attention to detail in drafting and reviewing legal documents.
