Job Description

Key Responsibilities:


1. Corporate Governance and Compliance:

  • Ensure the company complies with applicable laws, regulations, and standards, including corporate governance frameworks.
  • Act as the custodian of the company's statutory books, such as registers of members, directors, and secretaries.
  • Maintain and file all statutory returns and forms with regulatory authorities (e.g., Registrar of Companies).
  • Provide guidance to the board and senior management on corporate governance best practices.

2. Board and Shareholder Meetings:

  • Organize and schedule board, committee, and general meetings (AGM, EGM).
  • Prepare agendas, circulate notices, and draft resolutions.
  • Record and distribute minutes of meetings accurately.
  • Facilitate communication between the board and shareholders.

3. Regulatory and Statutory Filing:

  • Handle filing of annual returns, financial statements, and other statutory documents.
  • Ensure compliance with securities regulations if the company is listed.

4. Legal Advisory:

  • Provide legal advice to the board and management on corporate laws, contractual obligations, and dispute resolution.
  • Draft, review, and manage company contracts, agreements, and other legal documents.

5. Record Keeping:

  • Safeguard important company documents such as the Memorandum of Association (MOA), Articles of Association (AOA), and share certificates.
  • Oversee proper documentation of board decisions and company policies.

6. Financial Oversight:

  • Liaise with external auditors, regulators, and stakeholders for financial audits and inspections.
  • Assist in the development of financial strategies and budget planning in consultation with finance teams.

7. Stakeholder Communication:

  • Act as a key point of contact for shareholders and regulatory bodies.
  • Manage shareholder queries and ensure effective dissemination of financial and non-financial information.

8. Risk Management:

  • Assist in identifying and mitigating legal, compliance, and corporate risks.
  • Keep abreast of changes in legislation and advise the company accordingly.

Skills:

Essential:

  • In-depth knowledge of corporate laws, securities laws, and compliance frameworks.
  • Excellent organizational, communication, and interpersonal skills.
  • Strong analytical and problem-solving abilities.

Preferred:

  • Experience in Real Estate, Retails etc.
  • Familiarity with financial management and accounting principles.
