Job Summary:
We are seeking a highly motivated and experienced Company Secretary to manage our corporate governance, regulatory compliance, and secretarial functions.
The ideal candidate will be a qualified and seasoned professional with a deep understanding of company law, SEBI regulations, and other relevant legislation.
This role requires strong leadership, excellent communication skills, and the ability to provide strategic advice to the board and senior management.
Responsibilities:
- Corporate Governance: Develop, implement, and maintain corporate governance policies and procedures, ensuring compliance with best practices and legal requirements.
- Advise the board on corporate governance matters.
- Board Meetings: Manage all aspects of board meetings, including preparing agendas, drafting minutes, circulating board papers, and ensuring compliance with statutory requirements.
- Compliance: Oversee all regulatory filings and ensure timely compliance with applicable laws and regulations, including Companies Act, SEBI regulations, listing requirements, and other relevant legislation.
- Secretarial Matters: Manage all secretarial functions, including maintaining statutory registers, handling share transfers, and managing stakeholder communications.
- Legal & Regulatory Updates: Monitor changes in corporate laws and regulations and advise the board and senior management on their impact.
- Implement necessary updates to internal policies and procedures.
- Stakeholder Management: Act as a point of contact for shareholders, regulators, and other stakeholders.
- Manage stakeholder communications and address their queries.
- Corporate Restructuring: Assist in corporate restructuring activities, including mergers, acquisitions, and divestitures.
- Contract Management: Review and negotiate contracts, ensuring compliance with legal requirements and company policies.
- Compliance Audits: Conduct internal compliance audits to ensure adherence to applicable regulations and company policies.
- Advisory Role: Provide strategic advice to the board and senior management on legal, regulatory, and corporate governance matters.
- Team Management (if applicable): Lead and manage the secretarial/compliance team, if applicable, providing guidance and mentorship.
Qualifications:
- Education: Member of the Institute of Company Secretaries of India (ICSI).
- Knowledge: Deep understanding of the Companies Act, SEBI regulations, listing requirements, and other relevant legislation.
Skills:
- Excellent communication skills (written and verbal).
- Strong leadership and interpersonal skills.
- Excellent analytical and problem-solving skills.
- Proficient in using MS Office Suite and other relevant software.
- Ability to work independently and as part of a team.
- Strong negotiation and drafting skills.
