Job Title - Assistant Company Secretary

Department - Legal

Location/Unit - Bangalore

Main Objective of the Role
Act as a Company Secretary for one of the subsidiaries of the flagship, Assist the Company Secretary


Key Responsibilities

  • Manage the process of corporate filings with government authorities, such as incorporation documents, licenses, and other legal filings across all jurisdictions, with support from local consultants.
  • Ensure the company is in compliance with local, national, and international regulations, including the filing of corporate documents, annual returns, and statutory filings.
  • Prepare and coordinate with consultants to prepare documents and resolutions for board and shareholder meetings.
  • Maintain the company's minute books, and statutory registers, and manage the preparation and execution of documents such as resolutions and Power of attorney
  • Develop and implement policies, procedures, and controls to ensure ongoing compliance with all relevant laws, regulations, and industry standards.
  • Regulatory Filings: Manage regulatory filings and ensure compliance with corporate obligations, such as annual returns, declarations, and filings with ROC, SEBI, and other authorities.
  • Other Duties: Assist with due diligence processes as needed. Support internal audits and respond to audit findings in relation to compliance areas.
  • Liaising with registrar of companies, share registrar, depository, statutory auditors and other regulatory authorities;
  • Assist in special projects relating to legal entity reorganization, adoption/alteration of Memorandum of Association and Articles of Association, capital infusion/repatriation, FEMA, Merger and Acquisition, etc.;
  • Ensure that the Company is compliant with the following at all times: Companies Act 2013 and allied rules; Secretarial Standards; Any other regulations impacting the corporate secretarial function
  • Keeping up to date with changes in legislation and advising the board on the potential impact on the company.
  • Documentation & Records: Maintain statutory registers, company records, and other important documents as per legal and organizational policies. Oversee the archiving and retrieval of corporate documents.
  • Conducting Board Meeting for subsidiaries independently.
  • Drafting board minutes, agenda, and other board meeting related documents.

Major Job Qualifications / Specific Skills Required

Education:
Qualified Company Secretary


Knowledge and Specific Skills
Good drafting skills and communication skills. Proficiency in MS word, Excel and PPT.
