- We seek an experienced Company Secretary (CS) with proven expertise in public limited companies or listed entities to manage compliance, governance, and statutory responsibilities during this critical phase and beyond.
Key Responsibilities
Corporate Governance and Compliance:
- Ensure compliance with Companies Act, SEBI regulations, Stock Exchange Listing Obligations (LODR), and other applicable laws.
- Develop, implement, and monitor robust corporate governance frameworks.
- Act as the custodian of corporate compliance and ensure accurate and timely filings with regulatory authorities, including the MCA, SEBI, and Stock Exchanges.
IPO Process Management:
- Lead and manage all secretarial aspects of the IPO process, including drafting the prospectus, coordinating with legal advisors, underwriters, and auditors.
- Ensure compliance with pre- and post-listing obligations and assist in drafting and executing listing agreements.
- Facilitate the establishment of strong internal controls and corporate disclosure mechanisms.
Board and Shareholder Management:
- Organize and coordinate Board, Committee, and General Meetings, including agenda preparation, minutes recording, and statutory reporting.
- Act as the advisor to the Board on corporate laws, governance practices, and fiduciary responsibilities.
- Maintain the statutory registers and ensure effective communication with stakeholders and shareholders.
Legal and Regulatory Liaison:
- Serve as the primary liaison with regulatory bodies such as SEBI, MCA, Stock Exchanges, and other authorities.
- Handle inquiries, audits, and inspections by statutory authorities.
- Draft, review, and ensure compliance with contracts, agreements, and other legal documentation.
Risk Management and Reporting:
- Identify potential risks related to compliance and propose mitigation strategies.
- Prepare and present periodic compliance reports to the Board and senior management.
- Oversee ESG (Environmental, Social, and Governance) compliance and reporting as required.
Educational Qualifications:
- Qualified Company Secretary (CS) and member of the ICSI (Institute of Company Secretaries of India).
- Bachelor's degree in Commerce, Law, or a related field; a Master's in Law (LLM) or an MBA in Finance/Corporate Governance is a plus.
Professional Experience:
- 8-15 years of experience as a Company Secretary, with at least 4+ years in a public limited or listed company.
- Hands-on experience with IPO management and post-listing compliance is mandatory.
Skills and Competencies:
- Technical Knowledge: In-depth knowledge of Companies Act, SEBI regulations, FEMA, LODR, and other applicable statutory requirements.
- Strategic Thinking: Ability to align corporate governance with the company's business strategy during and after the IPO transition.
- Communication Skills: Excellent verbal and written communication skills to interact with Board members, regulatory bodies, and stakeholders.
- Attention to Detail: Strong analytical and organizational skills to manage complex compliance requirements.
- Leadership: Proven ability to lead compliance and governance initiatives in a fast-paced environment.
