Job Title: Company Secretary

Job Description:
Overview: As a Company Secretary in a Non-Banking Financial Company (NBFC), you will play a critical role in ensuring compliance with regulatory requirements, facilitating effective communication between the board and management, and overseeing corporate governance matters.
Key Responsibilities:

  1. Regulatory Compliance:
    • Stay updated on relevant laws and regulations pertaining to NBFCs.
    • Ensure the company's compliance with statutory and regulatory requirements.
    • Prepare and submit necessary reports to regulatory authorities.

  1. Board and Committee Meetings:
    • Coordinate and organize board and committee meetings.
    • Prepare agendas, collate and distribute meeting materials, and record minutes.
    • Follow up on action items and decisions made during meetings.

  1. Corporate Governance:
    • Implement and maintain best practices in corporate governance.
    • Advise the board on corporate governance matters and compliance issues.
    • Ensure adherence to the company's articles of association and other relevant documents.

  1. Communication and Disclosures:
    • Facilitate effective communication between the board and senior management.
    • Manage the company's disclosure and communication policies.
    • Handle communications with shareholders and regulatory bodies.

  1. Legal Support:
    • Provide legal support and advice on corporate matters.
    • Review and draft legal agreements, contracts, and documents.
    • Manage and mitigate legal risks associated with business operations.

  1. Annual Compliance Calendar:
    • Develop and maintain an annual compliance calendar.
    • Monitor and ensure timely completion of all compliance-related activities.

  1. Secretarial Records:
    • Maintain and update statutory registers and records.
    • Ensure proper documentation of board resolutions and minutes.

  1. Training and Awareness:
    • Conduct training sessions for board members and employees on compliance matters.
    • Keep the board informed about changes in regulations and governance practices.

Qualifications:

  • Qualified Company Secretary (ACS).
  • Relevant experience in a similar role in an NBFC or financial institution.
  • Thorough understanding of NBFC regulations and compliance requirements.
  • Strong knowledge of corporate governance principles.
  • Excellent communication and interpersonal skills.
  • Ability to work independently and collaboratively.
