Company Secretary
Secretarial Compliances of Listed Entity:
- Ensure stock exchange compliances and XBRL filings.
- Oversee the preparation of agendas, presentations, and minutes for quarterly Board & Committee meetings.
- Ensure timely submissions of ROC (Registrar of Companies) compliances.
- Coordinate and facilitate the secretarial audit process.
- Prepare the Annual Report, its publication and related compliances.
- Dividend Related Compliances and co-ordination with Banks and RTA for the same.
- Organize and manage the AGM, EGM and Postal Ballots.
- Handle overall IEPF (Investor Education and Protection Fund) compliances and grievances of Shareholders.
- Manage ESOP (Employee Stock Ownership Plan) processes.
- Supervise SDD (Significant Difference Determination), RTA (Registrar and Transfer Agent) coordination, and Compliance Management tool-related tasks.
Subsidiary Compliance Management:
- Organize and manage Board meetings and ROC compliances for 12 subsidiaries, including a material subsidiary.
- Facilitate the secretarial audit process for subsidiaries.
- Manager RBI Compliances related to the ODI in Singapore.
- Prepare minutes and ensure timely ROC compliances for group companies.
Insurance tasks Management:
- Ensure timely renewal of insurance policies for the entire group.
- Manage MIS for policy renewals and track insurance claims, coordinating with relevant departments and Brokers for closure.
BRSR and ESG Monitoring:
- Prepare and finalize BRSR (Business Responsibility and Sustainability Reporting), including data collection templates.
- Monitor ESG (Environmental, Social, and Governance) practice and Conduct analysis, review, upgrade, and form policies.
- Coordinate with different departments to implement past year's findings and execute training for all functions.
Risk Management:
- Monitor the company's risk management functions.
- Conduct regular meetings with stakeholders to discuss risk management and prepare mitigation plans with departments and maintain the risk register and presentations.
Merger and Restructuring:
- Handle assignments related to corporate restructuring, including mergers, changes in the Board, executive directorships, and remunerations.
Investor Relations:
- Manage Investor Relations meetings and Preparing Quarterly presentations and Press release for the same.
