Position Title: Company Secretary
Location: Mumbai
Job Overview:
We are seeking a highly skilled and experienced Company Secretary to join our team. The ideal candidate will be responsible for ensuring compliance with corporate governance standards, regulatory requirements, and maintaining effective communication with key stakeholders. This role requires expertise in handling Initial Public Offerings (IPO), Qualified Institutional Placements (QIP), and Mergers & Acquisitions (M&A) transactions, along with a strong understanding of corporate law.
Key Responsibilities:
Regulatory Compliance & Corporate Governance:
- Oversee compliance with corporate governance norms and statutory regulations for a listed company.
- Ensure timely filing of documents with regulators like SEBI, stock exchanges, and the Ministry of Corporate Affairs (MCA).
- Advise the board on compliance with the Companies Act, SEBI Listing Regulations, and other applicable laws.
IPO and QIP Transactions:
- Manage and facilitate the company's IPO process, working closely with legal advisors, investment bankers, and regulators.
- Lead the preparation of all relevant documentation for IPO, QIP, and related filings.
- Liaise with stock exchanges, SEBI, and other regulatory bodies to ensure adherence to listing and offering requirements.
Mergers & Acquisitions (M&A):
- Support and oversee the legal and corporate governance aspects of M&A transactions.
- Coordinate with legal, finance, and external consultants to ensure smooth execution of M&A deals.
- Handle shareholder meetings, approvals, and regulatory filings related to M&A transactions.
Board and Shareholder Meetings:
- Organize and attend board meetings, ensuring compliance with legal procedures and documentation.
- Prepare agendas, minutes, resolutions, and other corporate documents for board meetings and general meetings.
- Advise on matters relating to corporate governance and ensure the proper execution of board decisions.
Legal and Financial Documentation:
- Draft and review key corporate documents including resolutions, contracts, and agreements.
- Maintain statutory registers and records in compliance with legal requirements.
- Provide guidance on corporate structuring and corporate finance matters.
Investor Relations & Communication:
- Serve as a liaison between the company and its investors, shareholders, and regulators.
Ensure timely and accurate dissemination of corporate information as per SEBI and stock exchange requirements.
Manage filings of annual reports, proxy statements, and other investor-related communications.
Qualifications & Experience:
Education:
- Qualified Company Secretary (ACS/FCS) with membership in the Institute of Company Secretaries of India (ICSI).
- Law degree (LLB) or a Master's degree in Corporate Law/Finance (preferable).
Experience:
- Minimum of 15 years of experience as a Company Secretary, preferably in a listed company.
- In-depth experience handling IPO, QIP, and M&A transactions.
- Proven track record in managing regulatory compliance and corporate governance for public companies.
- Strong understanding of securities laws, corporate law, and listing regulations.
Skills & Competencies:
- Strong communication, organizational, and interpersonal skills.
- High attention to detail and ability to manage multiple priorities.
- Proficient in corporate secretarial software and MS Office.
- Knowledge of SEBI regulations, the Companies Act, and other relevant statutory provisions.
