As we expand our business operations into bitcoin treasury management & become the bitcoin proxy in Indian capital market. We aim to strengthen our leadership team by onboarding a seasoned Company Secretary who combines legal expertise with strategic financial acumen.
Job Summary
We are seeking an experienced Company Secretary to lead compliance, governance, and corporate affairs for our organization. The ideal candidate will have a strong background in fundraising, banking, and NBFC operations, along with exposure to Bitcoin-related regulations. This role is critical in ensuring Jetking smoothly navigates it ambition of becoming the bitcoin treasury in the Indian capital market the organization's legal compliance while contributing to strategic growth initiatives
Key Responsibilities
1. Corporate Governance & Compliance:
Ensure compliance with the Companies Act, 2013, and other statutory regulations applicable to the company.
Manage board and shareholder meetings, including drafting agendas, minutes, and resolutions. Maintain statutory records, filings, and compliance reports.
2. Fundraising & Financial Oversight:
Collaborate with the finance team to support capital-raising initiatives through debt, equity, or alternative financing routes.
Manage relationships with banks, NBFCs, and other financial institutions.
Ensure compliance with RBI guidelines and SEBI regulations during fundraising activities.
3. Legal & Regulatory Framework:
Provide advisory on legal matters, contracts, and strategic partnerships.
Liaise with external legal advisors, regulators, and stakeholders to address compliance concerns.
Handle company secretarial audits and liaise with statutory auditors.
4. Bitcoin Exposure:
Understand and monitor evolving Bitcoin and blockchain regulations in India and globally.
Assist in developing and implementing policies for Bitcoin adoption and transactions within the company's operations.
Provide strategic inputs on leveraging Bitcoin for treasury, investments, or innovative solutions.
5. Stakeholder Management:
Act as the primary liaison between the board, shareholders, and regulatory authorities.
Ensure timely reporting to stakeholders and maintain transparency in communication.
Drive company initiatives to strengthen governance frameworks and enhance investor confidence.
6. Risk Management:
Identify, assess, and mitigate legal and compliance risks.
Maintain a proactive approach to managing regulatory changes and implications for the organization.
Qualifications and Skills
Education: Membership with ICSI (Institute of Company Secretaries of India) is mandatory. Additional qualifications in Law, Finance, or Bitcoin will be an advantage.
Experience: Minimum 10 years of post-qualification experience as a Company Secretary in industries such as banking, NBFC, or fintech.
Proven track record in fundraising, managing regulatory compliance, and corporate governance. Exposure to Bitcoin laws and blockchain technology is a significant plus.
