Role Description:
- This is a full-time on-site role for a Company Secretary at ITShastra in Pune.
- The Company Secretary will be responsible for managing corporate governance and regulatory compliance tasks.
- The ideal candidate should be well-versed in corporate secretarial duties, compliance reporting, company law, and the management of legal documents.
- Additionally, Candidate will handle matters related to charitable trusts and ensure legal compliance in various agreements.
Key Responsibilities:
Company Secretarial Work:
- Proficient with MCA-21 portal for online filing, inspections, and ensuring compliance with regulatory requirements.
- Conduct compliance audits of companies for the issuance of Compliance Certificates.
- Manage the reorganization of company structure, including changes to authorized capital and alterations to Memorandum of Association (MOA) and Articles of Association (AOA).
- Prepare and maintain various statutory books, registers, and other company records.
- Draft and file Director's Reports, Annual Returns, Balance Sheets, and Profit & Loss Accounts with regulatory authorities.
- Handle company matters related to the issue, allotment, transfer, transmission, and issue of share certificates, including the issuance of duplicate certificates.
- Oversee the appointment of managerial personnel and manage matters related to managerial remuneration.
- Draft agendas, notices, resolutions, and minutes for Board Meetings, Committee Meetings, and Annual General Meetings (AGM), including special notices.
- Ensure compliance with FEMA (Foreign Exchange Management Act) regulations applicable to the organization.
- Provide guidance and support in the running of Board meetings, including corporate governance advice.
Other Responsibilities:
- Drafting and negotiating legal documents such as Non-Disclosure Agreements (NDAs), Power of Attorneys (PoA), Memorandums of Understanding (MoU), Distribution Agreements, Agency Agreements, Master Services Agreements, and Marketing Agreements.
- Handle and coordinate commercial agreements, intellectual property rights, and manage legal disputes.
- Work closely with external legal advisors and consultants to resolve legal matters and maintain regulatory compliance.
Charitable Trust Related Work:
- Oversee the management of legal matters related to Charitable Trust ensuring compliance with relevant trust laws.
- Handle various trust matters, including the addition and removal of Trustees and management of trust schemes.
Skills and Qualifications:
- CS qualification from the Institute of Company Secretaries of India (ICSI).
- 1-3 years of experience in company secretarial practices, corporate law, and legal compliance.
- Proficient with MCA-21 filing and compliance procedures.
- Strong knowledge of Companies Act and FEMA regulations.
- Experience in drafting legal documents, preparing Board and AGM materials, and maintaining statutory records.
- Strong communication skills for dealing with stakeholders, legal advisors, and regulatory authorities.
- Prior experience in corporate restructuring, share issuance, and handling managerial appointments.
- Knowledge of SEBI regulations and other corporate governance practices.
- Familiarity with trust laws and management of charitable trust legal matters.
