Job Description

The Manager - Company Secretarial will be responsible for monitoring and ensuring on a day-to-day basis and at an operational level, Compliance under the Companies Act, 2013, SEBI Listing Regulations, 2015, SEBI Act. SEBI PIT regulations and ensure all the ROC & Stock Exchange filings and disclosures, Secretarial Standards, etc. of IPCL and its Subsidiaries. Handling at operational level preparation of Annual Report, overseeing arrangements for the Board Meeting, Board Sub-Committee Meetings, and general meetings of IPCL & subsidiaries.


The key Role & responsibilities are-

  • Ensuring compliance with the provisions of the Companies Act, 2013, Secretarial Standards and Policies framed thereunder
  • Ensuring compliance with SEBI LODR and PIT Regulations.
  • Handling Board and General Meetings
  • Preparing Agendas, Minutes & conducting meetings
  • Preparing Annual Reports
  • Statutory filings with ROC & Stock Exchange
  • Stock exchange intimations and compliances
  • Managing interactions with ROC, RD, SEBI & Stock Exchanges
  • Work closely with law firms, Secretarial Auditors, Statutory Auditors, and PCS
  • Familiar with the process of IBC, NCLT, Mergers, etc.
  • Coordinate with various departments, gather inputs, and ensure timely preparation of Annual Report.
  • Prepare and maintain a monthly Secretarial MIS of the Company & its subsidiaries T

Preferred candidate profile

- Strong communication skills with good command of drafting

- High on agility with multitasking ability

- Candidate should have handled physical Board Meetings with diversified Board, Board Committee Meetings, AGMs, EGMs, Preferential Allotment of Shares, Rights Issue, Bonus Issue, Payment of Dividend, Issue & allotment of Debt Instruments, etc.;

- Candidate should have knowledge in dealing with Registrar and Share Transfer Agent & public shareholders;

- Candidate should be well accustomed and have sound working knowledge of the Companies Act, 2013, Secretarial Standards, SEBI Listing, and Obligations & Disclosure Regulations, 2015;
