Job Description

Role Overview:

- The Sr.AGM/AGM Secretarial is a senior leadership role in the Financial Services and Insurance (BFSI) sector, responsible for overseeing the secretarial functions of the organization while ensuring compliance with corporate governance and legal regulations.


- This role is critical in managing the organization's corporate governance framework, ensuring legal compliance, and ensuring smooth operations at the senior management level.

Key Responsibilities:

Corporate Governance:

- Advise senior management on legal, compliance, and governance matters, particularly related to the Companies Act, the Companies (Acquisition and Transfer of Undertakings) Act, and industry-specific regulations such as those from the RBI and SEBI.

- Oversee Board and Committee meetings, ensuring compliance with governance procedures, preparation of agendas, recording minutes, and documentation of resolutions.

- Manage all aspects of company secretarial functions, including maintaining statutory registers, filing documents with regulatory authorities (e.g., RBI, SEBI), and ensuring timely compliance with all legal requirements.

Secretarial Functions:

- Lead and manage the company secretarial team, delegating responsibilities, monitoring performance, and ensuring alignment with legal and governance standards.

- Oversee shareholder relations, including organizing and coordinating Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs).

- Maintain accurate company records, such as registers of members, directors, and statutory documents. Ensure they are updated regularly and in compliance with relevant laws.

- Ensure that corporate documents are properly archived, accessible, and retrievable when required.

Risk Management and Compliance:

- Identify, assess, and mitigate legal and compliance risks related to secretarial functions.

- Develop, implement, and maintain policies and procedures that ensure compliance with applicable laws and regulations.

- Collaborate with other departments, such as Legal and Risk Management, to ensure a cohesive risk management strategy and organizational adherence to internal and external regulatory standards
