Associate Director- Regulatory & Compliance-Mumbai

About the Role:

We are seeking an experienced and dynamic professional with a strong background in regulatory compliance, corporate governance, and secretarial practices. The ideal candidate will have extensive experience working with diverse corporate entities, including listed companies, NBFCs, MNCs, public and private companies. This role requires a hands-on approach to handling end-to-end corporate compliance, audits, and due diligence, while also managing a team of professionals across various verticals.

Key Responsibilities:

• Lead and manage regulatory and corporate compliance matters across multiple entities, including listed companies, NBFCs, and MNCs.
• Oversee secretarial and internal audits, due diligence, and retainership services for clients, ensuring full compliance with regulatory requirements.
• Manage a team of 10+ professionals, driving collaboration across departments and verticals to meet client needs.
• Advise on corporate actions, incorporation, capital restructuring, NBFC compliances, management changes, dividend matters, and exit strategies.
• Handle complex group structures involving multiple entities (15-20 companies) and manage their end-to-end compliance.
• Provide advisory services under Companies Act, 2013, SEBI Act, 1992, FEMA, 1999, SEBI (LODR) Regulations, SEBI (SAST) Regulations, SEBI (ICDR) Regulations, PIT Regulations, and ESOP Regulations.
• Engage in corporate governance matters such as related party transactions, CSR compliance, and compounding under Companies Act.
• Work closely with NGOs and other entities on regulatory matters, offering comprehensive advisory support on corporate and securities laws.

Required Qualifications:

• Company Secretary and Law Graduate.
• Minimum 10 years of experience in a similar role, with a strong consultancy background.
• Proven track record in handling large group entities and ensuring compliance with complex regulatory requirements.
• Strong expertise in corporate laws, FEMA, SEBI regulations, NBFC compliance, and capital markets.
• Ability to manage and mentor teams, ensuring seamless delivery across multiple engagements.
• Preferred Experience:
• Previous experience with top-tier consulting firms.
• Experience with FDI, ODI, ECB and BSE/ NSE-listed companies and familiarity with the regulatory landscape of Indian capital markets.
