Manager - Legal & Secretarial Affairs
Key Responsibilities:
1. Corporate Governance:
- Ensure compliance with all corporate governance standards and regulatory requirements.
- Manage and facilitate Board meetings, including preparing agendas, minutes, and resolutions.
- Advise the Board and senior management on corporate governance issues and best practices.
2. Agreement Drafting and Management:
- Draft, review, and negotiate a wide range of agreements, NDA, Leave and Licence Agreement, TVCs agreement including IT-related contracts, service agreements etc.
- Ensure all agreements comply with legal and regulatory standards and reflect the company's interests and objectives.
- Oversee the closing process of agreements, including the management of all documentation and compliance checks.
- Replying to legal notices and notices received from Police, Labour offices etc.
3. Compliance and Legal Affairs:
- Monitor and ensure compliance with relevant laws, regulations, and industry standards.
- Conduct periodic reviews and updates of company policies and procedures to maintain compliance.
4. Record Keeping and Reporting:
- Maintain accurate and up-to-date company records, including statutory books and registers.
- Prepare and file necessary corporate documents with regulatory authorities.
- Ensure timely reporting of corporate activities and compliance status to the Board and relevant stakeholders.
- Maintenance of MIS of internal task and timely updates.
5. Risk Management:
- Identify and assess legal risks related to business operations and provide strategic advice to mitigate those risks.
- Develop and implement risk management strategies and compliance programs.
Qualifications:
- Education: CS and LLB.
Skills:
- Strong knowledge of corporate governance, compliance, and legal frameworks.
- Proven ability to draft and negotiate complex agreements.
- Familiarity with IT and technology-related business transactions.
- Excellent organizational and communication skills.
- Ability to work independently and manage multiple tasks effectively.
- Familiar with Trade Mark protection.
