Advocate Lawyer (Company Secretarial)

Role & responsibilities : Drafting (Civil Drafting mainly), Knowledge of Law (Company law, civil as well as Criminal), Research skills , Communication skills , Strong Analytical Skills, Critical Thinking, Advocacy and Negotiation Skills and Client Management. Competence in representing clients persuasively and negotiating favorable outcomes. Capability to build trust, understand client needs, and maintain professional relationships.

Additional Skills:

• Drafting Resolutions, Minutes of Board Meeting, General Meetings, Notice and other
  normal Company Secretarial Documents.
• Drafting of Agreements for Takeover, Franchisee, Business Restructuring.
• Drafting of NCLT Petitions for various Dispute Matters under Companies Act.
• Preparation and filing of Annual Filing Documents and Forms
• Basic knowledge of Listed and Public Limited Companies.
• Filing of ECB, FC-GPR, other FEMA compliances.
• All secretarial works such as issue of shares, increase in Authorised capital, Transfer of
  shares, Charge satisfaction, Charge Creation, Modification
• Other basic works in DGFT, Taxation, GST etc.
• Drafting, reviewing and managing a wide range of commercial contracts, Agreements,
  MOUs, Service and Consultancy Contracts, NDAs, Sale Deeds, Lease Deeds and other
  company contracts.
• Providing timely, accurate, independent and commercial pragmatic legal advice to
  internal stakeholders while highlighting and managing legal and commercial risk.
  Assisting in formulating the strategy for resolution of contractual disputes. Other Key
  Requirements: Knowledge of Drafting BR, Agreement, SEBI, FEMA, NBFC, ROC Filling,
  Company Law, Act 2013,Companies Act, FEMA, Import Export etc.
