General Manager Legal M&A (Merger and Acquisition)
Responsibilities:
- End-to-End Execution: Lead legal execution of mergers, acquisitions, and strategic business initiatives from initial structuring to closing.
- Transaction Structuring: Design and implement optimal legal structures for mergers, acquisitions, joint ventures, and other strategic transactions.
- Strategic Leadership: Lead and manage a team of legal professionals to ensure efficient and effective handling of all mergers and acquisitions (M&A) activities.
- Due Diligence: Conduct comprehensive due diligence investigations to assess the legal, financial, and operational risks associated with potential transactions.
- Document Drafting and Review: Draft, review, and negotiate a wide range of legal documents, including contracts, acquisition agreements, and confidentiality agreements.
- Compliance and Regulation: Ensure transactions comply with federal, state, and local laws and regulations, including securities, antitrust laws and foreign investment regulations.
- Risk Management: Develop and implement strategies to identify, assess, and mitigate legal risks associated.
- Stakeholder Coordination: To structure and close deals, collaborate with internal teams, external counsel, financial advisors, business heads, and corporate leadership.
- Training and Development: Provide training and guidance to the legal team on legal matters and best practices.
- Regulatory Filings: Prepare and file necessary documents with regulatory bodies to ensure compliance in line with global requirements
Qualifications:
- Education: Degree from an accredited law school.
- Experience: With a minimum of 12-15 years of proven experience as a Legal expert with a strong track record of managing complex transactions. Experience working in a multinational setup with multiple stakeholders
- Skills: Excellent negotiation, communication, and analytical skills; strong attention to detail; ability to work under pressure and meet deadlines. Should be able to work in a demanding and complex setup.
- Knowledge: Deep understanding of corporate law, securities law, and regulatory requirements. Should not only have a good legal grip but also the ability to match commercial requirements with legal requirements.
