Role & responsibilities:

Secretarial:

- Assist in managing the Secretarial function of all entities across acting as a Company Secretary

- Preparing Board / Committee / AGM agendas and minutes of the meeting thereof and ensuring real-time compliance of applicable secretarial standards.

- Preparation of all annual documents like annual report of the Company which shall include Directors Report and all its annexures of group companies.

- Working closely with various Functions for preparation of the agenda items of the Board and Shareholders.

- Filing of all annual, half yearly, quarterly, and event-based e-forms with MCA including but not limiting to annual returns, charge related form, MSME return, CSR related forms and any other ROC Compliances.

- Alteration of Memorandum and Articles of Association, Change of Name of the Company, Alteration in Registered office Clause, Alteration in Object Clause and Capital Clause and its necessary compliances.

- Process of issue and allotment of shares by Private Placement, Right Issue, Bonus Issue, ESOP and ESAR allotment & its relevant compliances.

- Handled Creation/Modification/Satisfaction of Charge and co-ordination with Bank for the necessary formalities.

- Attending and providing documents as requested from time to time to Statutory Auditors/ Internal Auditors/ Secretarial Auditors for audit purposes and to regulatory inspectors visiting Company from time to time.

Legal:

- Assist in drafting, vetting, and finalization of various legal and key commercial contracts /agreements /MoUs for matters relating to the company.

- Provide legal support to internal stakeholders viz. Finance, Tax, Business Development, Commercial teams at Corporate Office including branch offices

Preferred candidate profile:

- CS Qualified, with active CS membership number.

- 8 to 12 years' of experience post CS degree.

- LLB would be an additional advantage.
