Job Description
Key Responsibilities:
Board & Shareholder Meetings:
- Organize and attend Board and Shareholder meetings (AGM/EGM), preparing agendas, minutes, resolutions, and ensuring compliance with the Companies Act and SEBI Listing regulations.
RBI Compliance:
- Ensure adherence to RBI regulations applicable to NBFCs.
- Prepare RBI-related filings and documents, ensuring timely submission and compliance.
Listing & LODR Compliance:
- Manage compliance with Listing requirements for securities (if applicable).
- Ensure timely disclosure of financial results, corporate governance reports, and material events per SEBI's LODR regulations.
Statutory Filings & Documentation:
- Handle all statutory filings, including with the Registrar of Companies (ROC), RBI, and stock exchanges (where applicable).
- Ensure all regulatory returns, disclosures, and filings are completed within deadlines.
Corporate Governance:
- Ensure corporate governance practices align with regulatory requirements and company policies.
- Advise senior management on corporate governance matters and regulatory changes.
